Seller Agreement

1. Introduction

This Seller Agreement (“Agreement”) is entered into between Delookies (“we”, “us”, “our”) and the individual or entity applying to sell products through the Delookies marketplace (“Seller”, “Vendor”, “you”).

By listing or selling products through the Delookies marketplace, you agree to be bound by this Agreement, along with the following policies, which form part of this Agreement:

• Terms of Service
• Refund & Returns Policy
• Shipping & Delivery Policy
• Privacy Policy

Together, these documents govern your participation in the Delookies marketplace.

2. Marketplace Model

Delookies operates a curated marketplace alongside its own products.

• Delookies does not operate vendor storefronts
• Delookies does not promote Vendors independently
• Vendor branding may appear only on product listings for transparency (name and/or logo)

Delookies remains a brand-first retailer and reserves full control over how Marketplace products are presented.

3. Eligibility and Onboarding

To sell on the Delookies marketplace, you must:

• Hold a valid Australian Business Number (ABN)
• Be legally permitted to sell the products you list
• Comply with all applicable Australian laws, including food safety, consumer and privacy laws
• Provide accurate business, contact and banking information
• Maintain any licences, permits, approvals or insurance required for your products

Delookies may approve or reject Seller applications at its sole discretion.

4. Seller Responsibilities

You are solely responsible for:

• Product quality, safety and compliance
• Accurate product descriptions, pricing, ingredients and allergen disclosures
• Ensuring products meet Australian food safety standards (where applicable)
• Packaging products appropriately for delivery
• Fulfilling orders within reasonable timeframes
• Handling customer refunds, replacements and remedies in accordance with Australian Consumer Law
• Responding to customer enquiries and disputes promptly and professionally

5. Intellectual Property and Content

You warrant that:

• You own or hold all necessary rights, permissions or licences for any designs, images, branding, logos, text or content used in your listings
• Your products and content do not infringe any third-party intellectual property rights

Delookies may remove or suspend listings that are alleged or suspected to infringe intellectual property rights without notice.

Delookies may suspend related payouts while an investigation is ongoing.

6. Orders, Payments and Payouts

6.1 Payments

Delookies facilitates customer payments on your behalf.

You authorise Delookies to collect payments for Marketplace products and to remit payouts to you in accordance with this Agreement.

6.2 Fees and Commissions

Delookies may charge commissions, service fees or other charges as agreed during onboarding or as updated from time to time with notice.

6.3 Payouts

Payouts are processed on a scheduled basis and subject to:

• Successful order completion
• Any applicable refund, chargeback or dispute
• Compliance with this Agreement and Delookies policies

6.4 Holds and Offsets

Delookies may withhold, delay or offset payouts where reasonably required to manage:

• Refunds or replacements
• Chargebacks or payment disputes
• Suspected fraud
• Intellectual property claims
• Regulatory or compliance issues
• Breaches of this Agreement

7. Shipping and Fulfilment

You are responsible for:

• Packing and shipping Marketplace products
• Selecting appropriate carriers
• Providing accurate tracking information where available

Delookies does not store, handle or ship Marketplace products unless expressly agreed in writing.

8. Refunds and Returns

You are responsible for handling refunds, replacements and remedies for Marketplace products in accordance with:

• Australian Consumer Law
• Delookies’ Refund & Returns Policy

You must not refuse a lawful refund or remedy.

Delookies may step in where required by law or to protect customers and the Delookies brand.

9. Customer Data and Privacy

You may only use customer personal information for the purpose of fulfilling Marketplace orders.

You must:

• Handle customer data securely
• Comply with Australian privacy laws
• Not use customer data for marketing or any unrelated purpose
• Not retain customer data longer than necessary

Misuse of customer data is grounds for immediate termination.

10. Quality Control and Audits

Delookies reserves the right to:

• Request evidence of compliance (including licences, insurance or certifications)
• Audit listings, products or processes
• Remove or suspend listings that do not meet Delookies standards

Failure to comply may result in suspension or termination.

11. Reviews and Conduct

You must not:

• Post or encourage fake or incentivised reviews
• Interfere with customer feedback
• Engage in misleading, deceptive or unfair conduct

Delookies may moderate reviews and content to protect customers and platform integrity.

12. Suspension and Termination

Delookies may suspend or terminate your access immediately if you:

• Breach this Agreement or any Delookies policy
• Violate Australian law
• Infringe intellectual property rights
• Pose a risk to customers or the Delookies brand
• Misuse customer data
• Fail to meet quality or fulfilment standards

Termination does not affect outstanding obligations or accrued rights.

13. Indemnity

You agree to indemnify and hold harmless Delookies from any claim, loss, damage or expense arising from:

• Your products
• Your breach of this Agreement
• Your violation of law
• Your infringement of third-party rights

14. Limitation of Liability

To the maximum extent permitted by law, Delookies is not liable for indirect, incidental or consequential losses arising from your participation in the marketplace.

Nothing in this Agreement limits rights that cannot be excluded under Australian Consumer Law.

15. Confidentiality

You must keep confidential any non-public information relating to Delookies, including pricing, commissions, processes and platform details.

16. Changes to This Agreement

Delookies may update this Agreement from time to time. Continued participation in the marketplace constitutes acceptance of the updated Agreement.

17. Governing Law

This Agreement is governed by the laws of New South Wales, Australia.

By listing products or selling through the Delookies marketplace, you confirm that you have read, understood and agree to this Seller Agreement.
